1. Who this agreement is with

BahiSathi ("the service", "we", "us") is owned and operated by Mohit Sehgal, an individual sole proprietor trading as AppsYoda, at 19-C, Palm Enclave, Sidhwan Canal Road, NH-5, Ludhiana, Punjab, 141122, India. There is no separate company. Using the service — creating an account, or opening the app — means you accept these terms. If you do not accept them, do not use the service.

These terms cover the web app at app.bahisathi.com, the Android app (com.appsyoda.business) and this website. They are one product on one account, so one agreement covers all three.

2. What the service does, and what it does not

BahiSathi prepares quotations, tax invoices, and credit and debit notes; works out the CGST, SGST, IGST or UTGST split from the place of supply; numbers documents in unbroken series; produces PDFs; and exports your month in GSTR-1 format. The features page lists the whole of it.

It is not accounting software, a bookkeeping service, a GST filing agent, or advice — legal, tax or otherwise. It does not generate e-invoices or IRNs, and it does not produce e-way bills. It does not file anything with the government on your behalf, and it does not talk to the GST portal.

You are responsible for what you issue

Every document BahiSathi produces is built from what you enter: your GSTIN, your customer's details, your rates, your HSN or SAC codes, your place of supply. We take real care with the arithmetic, and the same tax engine is tested against fixed vectors on Android, on the web and on the server. But an invoice you issue is your legal document. Check it before you send it, and check anything you are unsure of with your accountant. We are not liable for a return filed wrongly, a credit denied to your customer, or a penalty levied on you.

3. Your account

• You must be at least 18 and capable of entering a contract under the Indian Contract Act, 1872.
• Give accurate details when you sign up, and keep your business profile — GSTIN above all — correct and current.
• Your sign-in credentials are yours to protect. Anything done through your account is treated as done by you, so tell us at once if you think someone else has got in.
• If you invite staff to a business you own, you are responsible for what they do in it, and for removing them when they leave.
• One person, one account. Do not share a login in place of buying seats.

4. How you may not use it

You agree not to:

• issue documents showing GST while unregistered, or use a GSTIN that is not yours — see billing without a GSTIN for why this one matters;
• create false, backdated or duplicate documents, or use the service to misrepresent a transaction to anybody;
• resell, sublicense or white-label the service, or rebuild it by scraping, decompiling or automating against it;
• attempt to reach another customer's data, probe the service for weaknesses, or load it in a way meant to degrade it for others;
• upload malware, or anything unlawful under Indian law.

5. Plans, price and payment

Free

Free, indefinitely, with a ceiling of 20 issued documents per calendar month. Drafting is unlimited, and re-sending or re-downloading something you have already issued does not count. Reaching the ceiling pauses the issuing of new numbered documents and nothing else — your existing work is never deleted, locked or held to ransom — and the count refills on the 1st of the following month. No card is required and nothing auto-charges, because there is nothing to charge to.

Documents issued on the free plan carry a small line identifying BahiSathi. The paid plans remove it.

The paid plans

• Pro — ₹1,499 per year. Unlimited issued documents, up to 3 businesses on one account, and staff logins.
• Practice — ₹4,999 per year. For accountants and consultants who bill on behalf of others: up to 25 client businesses, and a single combined GSTR-1 export across them.
• Founding — ₹999, paid once. Described in its own section below.

How payment works

• Every price is inclusive of all applicable taxes. Nothing is added at checkout — no convenience fee, no gateway charge.
• Each payment is a one-time charge, not a subscription. No standing instruction, mandate or autopay is set up on your card, UPI or bank account, and no money can leave your account without you making a fresh payment yourself.
• An annual plan runs 12 months from the day the payment succeeds. It does not renew itself. When the term ends the account simply returns to the free plan, and you decide then whether to pay again. We will email you before the term ends so the change does not take you by surprise.
• Payments are processed by a third-party payment gateway. We never see or store your card number, CVV, UPI PIN or bank credentials.
• Access is enabled on your account as soon as the gateway confirms the payment — see the delivery policy.
• Refunds are governed by the cancellation and refund policy, which forms part of these terms.

When a paid term ends

Nothing you have created is deleted, hidden or locked, ever. You keep every invoice, quotation and note, and you can still open, share and export them. The account returns to the free plan, which means the monthly ceiling applies again from that point on. Businesses beyond the first stay in your account, in read-only form, until you either pay again or remove them.

The founding offer

₹999, paid once, for lifetime access to everything in Pro. It is limited to the first 100 customers and will not be reopened or extended once those are taken. Being precise about what we are promising, because "lifetime" is a word that deserves it:

• You will not be charged again for the features covered by Pro — not annually, not ever. No card details are kept.
• It covers future work. Features we later add to Pro are included as they ship, at no further cost.
• "Lifetime" means the life of the product, not of the customer: it lasts for as long as we operate BahiSathi.
• It covers Pro. If a genuinely separate product is built later — Practice's multi-client capabilities are the obvious example — that is not automatically included, and we will say so plainly rather than quietly move a feature you already had.
• It is tied to your account and is not transferable or resellable.

Price changes and grandfathering

Our prices will rise as the product does more — closing the e-invoice and e-way-bill gaps in particular. A new price is published on the pricing page before it takes effect, and it applies only to purchases made after that date.

A price increase never reaches back to an existing customer. A term you have already paid for is untouched, and if you are on Founding you are never charged again at all. Where we can reasonably do so, customers who paid an earlier annual price keep it when they pay for a further year.

6. Your data belongs to you

Your business profile, customers, items and documents are yours. We store and process them only to run the service for you. We do not sell them, share them with advertisers, or use them to train anything. What we collect and where it is stored is set out in the privacy policy.

You can export your documents as PDFs and your month as GSTR-1 JSON or CSV at any time, and you can delete your account yourself, without asking us. Deletion is permanent — export first, because GST law expects you to keep issued invoices for six years from the due date of that year's annual return, and our copy will be gone.

7. Availability and support

We aim to keep the service running continuously but do not promise a specific uptime figure. Maintenance, a failure at our hosting provider, or something we got wrong can all interrupt it. Drafting and previewing on Android keeps working without a connection; issuing a numbered document needs one.

Support is by email and WhatsApp, Monday to Saturday, 10:00 – 19:00 IST. We reply within 1 working day on a working day.

8. Suspension and termination

You may stop using the service at any time, and delete your account with it. We may suspend or close an account that breaches section 4, that is being used unlawfully, or where a payment is charged back or reversed. Where the circumstances allow it we will warn you first and give you a chance to put it right, and except in cases of fraud we will let you export your data before access ends.

9. Intellectual property

The software, the name BahiSathi, the logo, the invoice templates and this website remain ours. You get a personal, non-exclusive, non-transferable right to use the service while these terms are in force. The documents you produce with it are entirely yours.

10. Limits of liability

The service is provided as it is. To the extent Indian law permits, we exclude implied warranties of merchantability and fitness for a particular purpose.

We are not liable for indirect or consequential loss — lost profit, lost business, lost goodwill — nor for tax, interest or penalties arising from a document you prepared and issued. Our total liability, for any and all claims in any twelve-month period, is limited to the amount you actually paid us in that period. On the free plan that amount is nil, which is the honest consequence of a service that costs nothing.

Nothing here excludes liability that cannot lawfully be excluded, including for fraud.

11. Changes to these terms

We may update these terms. The date at the top changes when we do, and a change that materially affects a paying customer will also be sent by email to the address on the account. Continuing to use the service after a change means you accept the updated terms.

12. Governing law and jurisdiction

These terms are governed by the laws of India. The courts at Ludhiana, Punjab have exclusive jurisdiction over any dispute arising from them. Before either of us goes to court, write to appsyoda@gmail.com: nearly everything is a misunderstanding that a reply can settle.
